Terms of Service

These Terms govern your use of Vendor Advisor, a vendor due diligence platform operated by Alles Technology ("Alles," "we," "us"). By accessing the service you agree to these Terms on behalf of your firm.
The service
Vendor Advisor helps firms inventory their vendors, track contracts and renewals, flag which vendors touch client NPI, and prepare and document security due diligence consistent with Regulation S-P.
Accounts
Access uses single sign-on through our authentication provider. The person who creates a firm workspace is responsible for managing its members and for the activity that occurs within it. Keep your credentials secure.
Fees and free access
Vendor Advisor is currently provided free of charge to clients of Alles Technology. We may introduce paid plans for other firms or for additional capabilities in the future. We will give reasonable advance notice before any fees would apply to your firm, and you may decline by discontinuing use.
Your data and ownership
Your firm owns the data it enters. You grant us a limited license to host, process, and display that data solely to provide and improve the service. You are responsible for the accuracy of what you enter and for having the right to enter it.
Not legal or compliance advice
Vendor Advisor is a tool to help you organize and document vendor oversight. It does not constitute legal, compliance, or regulatory advice, and using it does not by itself make your firm compliant with Regulation S-P or any other rule. Your firm remains solely responsible for its regulatory obligations and should consult its own counsel or compliance professionals.
Acceptable use
Do not misuse the service, attempt to access another firm's data, interfere with its operation, or use it to violate any law or the rights of others.
Availability and warranties
The service is provided on an "as is" and "as available" basis while it is being actively developed and tested. To the extent permitted by law, we disclaim implied warranties and do not guarantee uninterrupted or error-free operation.
Limitation of liability
To the maximum extent permitted by law, Alles will not be liable for indirect, incidental, or consequential damages, or for loss of data or profits, arising from your use of the service. For any free use, our aggregate liability is limited accordingly.
Termination
You may stop using the service at any time. We may suspend or end access for misuse or as needed to operate the service responsibly. On termination we will make your data available for export for a reasonable period.
Governing law and contact
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Questions can be sent to legal@allestechnology.com.
